Our approach to board performance evaluation is efficient, effective
and tailored to the individual circumstances of the company.
In our experience, main board directors lack both the time and inclination
for extensive form-filling. In addition, we believe this approach is
too broad-brush and does not allow for the circumstances of individual
boards and directors to be taken into account.
We prefer an interview-driven approach, in which directors can express
their views freely. Our in-depth experience of Corporate Governance
enables us to ask questions of substance and derive a true picture
of the board’s strengths and weaknesses.
We interview each of the directors in turn, focusing particularly
on the role of the chairman and committee chairs. We review board papers,
presentation documents, and look at the information flow in association
with the company secretary.
Our experience gives us the requisite knowledge to analyse the information
we receive and offer compelling suggestions for improving the effectiveness
of the board.
Our findings are presented in a detailed, fact-based report, which
is given to the chairman and sent to each director.
